Hannah is an Idaho- and Utah-licensed attorney who provides strategic legal counsel to healthcare and business clients of all sizes, from small enterprises to multistate organizations with hundreds of employees.
She serves as outside general counsel to federally qualified health centers and various businesses and healthcare practices, offering comprehensive guidance on regulatory compliance, corporate governance, HRSA site visits, business formation, real estate transactions, contract drafting and negotiations, and risk management.
Additionally, Hannah advises clients on a wide range of employment and human resources matters, including employment agreements, employee handbooks, terminations, severance arrangements, and issues involving discrimination, harassment, and restrictive covenants such as non-competition, non-solicitation, and confidentiality agreements.
When she's not working, Hannah spends her free time trying to keep up with her toddler, convincing her husband another house project is always a good idea, skiing, traveling, and reading.

Chelsea Kidney is a seasoned attorney licensed in Idaho, Oregon, Utah, and Arizona, with over 15 years of legal experience focused on supporting health care providers. As outsourced general counsel, Chelsea provides comprehensive legal services, including compliance advising, human resources support, contract review, and licensing guidance.
Prior to private practice, Chelsea served in the Idaho Attorney General’s Office, where she was assigned to the Idaho Department of Health and Welfare. This role provided Chelsea deep insight into state and federal regulatory frameworks, with particular emphasis on Medicaid, Medicare, program integrity, provider licensing, and administrative appeals.
With a practical, solutions-focused approach, Chelsea helps health care organizations navigate complex regulatory environments, mitigate risk, and stay focused on delivering quality care.

Caitlin O’Brien serves as trusted counsel to federally qualified health centers (FQHCs), health care entities, and businesses across the West. Her practice focuses on health care and business law, with a mission to help clients navigate legal complexities while building resilient, compliant, and mission-driven organizations.
With a strong background in civil litigation and leadership in private practice, Caitlin provides focused, responsive legal services to organizations at the heart of community well-being. She regularly advises clients on corporate governance, employment matters, federal and state compliance, and regulatory issues. Her work includes HRSA operational site visit preparation, risk management strategies, and contract drafting and negotiation tailored to the unique needs of health care and business clients.
Caitlin also provides training for boards, leadership teams, and staff on key legal issues and best practices—supporting long-term operational success and compliance. Whether guiding a client through a complex regulatory matter or helping a board align with nonprofit governance standards, Caitlin brings clarity, experience, and dedication to every engagement.
Raised on the West Coast, Caitlin grew up riding horses, playing soccer, and fly fishing with her dad. She holds a bachelor's degree in psychology from Whitworth University and earned her Juris Doctor from Gonzaga University School of Law.
When she's not working, Caitlin spends her free time with her family and ever growing herd of animals on their farm in Coeur d'Alene, Idaho.
